Terms of Service
The terms that apply to use of this website and, unless superseded by a written engagement agreement, to services provided by BooksCaughtUp.

1. Who we serve
BooksCaughtUp provides accounting support services exclusively to CPA firms, accounting firms, bookkeeping firms, and tax firms (each a "Firm"). We do not provide services directly to the end clients of Firms. By submitting an inquiry or engaging us, you confirm you are acting on behalf of a Firm.
2. Nature of services
Our services consist of bookkeeping, reconciliation, cleanup, catch-up, review, and related accounting support performed under the direction of the engaging Firm. All work is delivered to the Firm for its review and is not final until the Firm accepts it. The Firm remains responsible for its professional relationship with its clients and for any opinions, filings, or advice issued to them.
3. Scope, quotes, and fees
Each engagement begins with a scope review and a written quote. Fees are as stated in the quote or engagement agreement. Work outside the agreed scope is quoted separately before it begins. Unless otherwise agreed, fixed-fee projects are invoiced on completion or at agreed milestones, and hourly work is invoiced on tracked time.
4. Firm responsibilities
- Provide access, documents, and information needed to perform the work in a timely manner
- Confirm that it is authorized to grant us access to client files
- Review delivered work and raise any issues within a reasonable period
- Retain responsibility for client communication unless otherwise agreed in writing
5. Confidentiality
We treat all Firm and client information as confidential, use it only to perform the engagement, and do not disclose it except as required by law. A separate non-disclosure agreement, where signed, governs in the event of conflict with this section.
6. Non-solicitation
We will not solicit, market to, or provide services directly to any end client of a Firm introduced to us through an engagement, during the engagement and for a period of twenty-four months after it ends.
7. Limitation of liability
To the fullest extent permitted by law, our total liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.
